Pro Radio Plus – Terms of Service & License Agreement

This document governs the Pro Radio Plus subscription provided by Qantum Themes SL. It complements the general Pro Radio Terms and replaces any conflicting provisions. By purchasing, activating, or using Pro Radio Plus, you acknowledge that you have read and agree to these terms in full.

1. Definitions

• Service: the Pro Radio Plus subscription, including theme, official plugins, premium features, demo websites, Elementor templates, updates, and support during an active subscription.
• End Product: one public website operated by you or your client using the Service.
• Customer: the purchaser and account holder; access and support are limited to the Customer.

2. Scope of License

• Each active subscription licenses one End Product. A separate subscription (or an expressly authorized multi-site plan) is required for each additional website.
• Additional staging domain changes are permitted at the discretion of the administration, provided this privilege is not abused and the staging URL is clearly non-public. Acceptable environments include localhost, raw IP addresses, or subdomains such as staging.yoursite.com, test.yoursite.com, or other similar clearly non-public environments.
• The license is non-exclusive, non-transferable, and limited as set forth herein.
• Each license allows the use of Pro Radio Plus on a single installation only.
• Multisite installations are not permitted.
• Installation on multiple subfolders or subdomains requires separate licenses for each instance.

3. Service Dependency and Soft-Disable

• The license and related functionality are strictly conditioned upon the subscription status.
• If the subscription is expired, suspended, or terminated, Plus-exclusive features are soft-disabled.
• Soft-disable includes, without limitation: Customizer options, Elementor templates, Pro Radio Elementor widgets, updates, and support services.

4. Automatic Renewal

• Pro Radio Plus is a recurring subscription (monthly or yearly).
• Subscriptions renew automatically at the end of each billing cycle using the payment method on file.
• By subscribing, you authorize automatic renewals until valid cancellation.

5. Cancellation

• Cancellation requests must be submitted via Helpdesk or Pre-Sales request at least 2 business days before the renewal date.
• The customer can as well cancel a subscription autonomously by terminating the pre-approved subscription from PayPal or Stripe
• No refunds are provided for services automatically renewed prior to cancellation.
• Upon cancellation, the subscription is effective immediately, and access to all Pro Radio features is disabled.

6. Switching to Lifetime License

• Customers may switch from Pro Radio Plus to a Lifetime License.
• The Lifetime License must include an active Support & Updates service to remain valid after migration.

7. Licensing Restrictions

• You may not resell, redistribute, or sublicense the software, plugins, or templates included in Pro Radio Plus.
• One subscription cannot be used to operate multiple public websites or a SaaS service.
• Demo images and media are for demonstration only and must be replaced in the final website.
• Breach of these terms may result in suspension or termination without refund.

8. Warranty Disclaimer

Pro Radio Plus is provided “as is” and “as available.” No warranty of merchantability, fitness for a particular purpose, uninterrupted service, or error-free performance is offered. Software may be updated, modified, or retired as technologies evolve.

9. Limitation of Liability

Provider shall not be liable for indirect, incidental, or consequential damages. In no event shall liability exceed the total amount paid in the 12 months preceding the claim.

10. Indemnity

You agree to indemnify and hold harmless the Provider, its directors, employees, agents, and affiliates from any claims or expenses arising from misuse of the Service, breach of these Terms, or violation of third-party rights.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any disputes shall be submitted to the competent courts of Spain.

12. Refund Policy

• Refunds are available only within 14 days of the first purchase (not renewals).
• No refunds are granted for subscription renewals after the initial purchase.
• Refunds require that the theme and plugins are uninstalled and no longer in use.
• Refunds are not available for incompatibilities with third-party software or hosting environments.

13. Updates and Support

• Updates and support are available only while the subscription is active.
• Support is provided exclusively through the Helpdesk and only to the original license holder.
• Access cannot be transferred to third parties.

14. Privacy and Data Use

Customer data may be collected and processed as necessary for account management, billing, and service delivery. Data may be shared with third-party providers strictly for service provision.

15. Pro Radio Plus Templates

Elementor templates marked with the P+ logo are exclusive to the Pro Radio Plus subscription. They require an active Pro Radio Plus license to be installed or used at any time. If you switch from Pro Radio Plus to a Lifetime License, these templates will no longer be available and will remain hidden.

16. Premium Plugins Access

Pro Radio Plus includes guaranteed access to all Pro Radio premium plugins, specifically Pro Radio Sidekick Premium, Pro Radio Dedications Premium, Pro Radio Business Tools, and Pro Radio Podybot Podcast Importer. Elementor Pro licenses are not included or distributed, as they are not required for the usage of our software and are not used in the creation of the demo websites.

17. Payment Disputes and Chargebacks

Initiating a chargeback, bank reversal, PayPal dispute, or similar action after a purchase or automatic renewal is considered a material breach of these Terms and of the License Agreement. Such actions may result in disciplinary measures, including suspension or permanent ban of the Customer account, the licensed domain, or the responsible server IP. Abuse of this kind may also result in a permanent prohibition from using any Pro.Radio services or purchasing new services in the future.

Final Notes

Pro Radio Plus is a subscription service, not a perpetual license. If the service ends, all Plus-exclusive features are disabled until renewed. Please ensure your subscription remains active to maintain full access.
